Terms of Trade

1. Scope
These terms apply to all trade orders placed with AMIRYX Wholesale, whether by account customers or one-off trade buyers. By placing an order, you accept these terms.
2. Quotes and pricing
Quotes are valid for 14 days unless stated otherwise. Prices are exclusive of applicable sales tax unless stated, and exclude delivery unless a delivered price has been confirmed in writing.
3. Minimum orders
Minimum order quantities vary by category and are confirmed at the time of quoting. We reserve the right to decline orders below the applicable minimum.
4. Payment terms
Orders are confirmed and processed only once payment has been received in full. A quote is not a reservation of stock or production capacity until payment clears.
5. Delivery and fulfillment
Orders may be fulfilled from stock we hold, or shipped directly by the manufacturer, distributor, or other third-party supplier — including, in some cases, from outside the United States. Dispatch and delivery timelines vary accordingly and are estimates, not guaranteed delivery windows. Risk in goods passes to the customer on delivery. For international deliveries, the customer is responsible for any import duties, customs fees, or local taxes applicable in the destination country, unless otherwise agreed in writing.
6. Damaged, incorrect, or missing items
Any damage, shortage, or incorrect item must be reported within 48 hours of delivery, with photographic evidence where applicable, to qualify for a replacement or refund.
7. Product compliance
Where products are subject to US safety, labeling, or electrical compliance requirements, compliance documentation is available to trade account holders on request. Customers reselling products remain responsible for their own downstream compliance obligations (for example, marketplace listing requirements).
8. Liability
Nothing in these terms excludes or limits liability for death, personal injury caused by negligence, or fraud. Subject to that, our liability for any order is limited to the value of that order.
9. Governing law
These terms are governed by the law of the State of Florida, and the state and federal courts located in Florida have exclusive jurisdiction over any dispute.
